1. Acceptance of Terms
By accessing or using the EzPay America website (ezpayamerica.com) and any of its services, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our website or services. These Terms apply to all visitors, users, merchants, affiliates, and others who access or use our platform.
2. Description of Services
EzPay America provides payment processing services, point-of-sale (POS) systems, merchant cash advances, and related financial technology services to small and medium-sized businesses across the United States. Our services include but are not limited to:
- Credit and debit card payment processing
- POS hardware and software solutions
- ACH and electronic check processing
- E-commerce payment integrations
- Merchant cash advance programs
- Gift card and loyalty programs
- Affiliate referral programs
3. Eligibility
You must be at least 18 years of age and a legal resident or entity operating in the United States to use our services. By using our services, you represent and warrant that you meet these eligibility requirements. Businesses must be legitimately operating and comply with all applicable federal, state, and local laws.
4. Merchant Application and Account
To access payment processing services, you must submit a merchant application and be approved by EzPay America. You agree to provide accurate, complete, and current information during the application process and to promptly update any changes. EzPay America reserves the right to approve or decline any application at its sole discretion.
You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
5. Prohibited Activities
You agree not to use our services for any of the following:
- Fraudulent, deceptive, or illegal transactions
- Processing payments for prohibited businesses or goods
- Money laundering or funding of illegal activities
- Violating any applicable laws, regulations, or card network rules
- Uploading malicious code or interfering with the security of our systems
- Misrepresenting your business type, products, or services
- Chargebacks abuse or friendly fraud
6. Fees and Payments
EzPay America offers zero-fee payment processing through our cash discount program. Any applicable fees, rates, or program terms will be disclosed clearly in your merchant agreement. You agree to pay all applicable fees as outlined in your specific service agreement. EzPay America reserves the right to modify fees with appropriate advance notice as required by law or your merchant agreement.
7. Intellectual Property
All content on the EzPay America website, including text, graphics, logos, images, and software, is the property of EzPay America or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our express written permission.
8. Affiliate Program
Participation in our affiliate referral program is subject to additional terms and conditions as provided during enrollment. Affiliates must comply with all applicable laws regarding advertising and referrals. EzPay America reserves the right to modify, suspend, or terminate the affiliate program at any time. Commission payments are contingent on verified conversions and compliance with program rules.
9. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. EzPay America does not warrant that our services will be uninterrupted, error-free, or completely secure. We disclaim all implied warranties including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the fullest extent permitted by law, EzPay America shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability to you for any claims arising under these Terms shall not exceed the fees paid by you to EzPay America in the three (3) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless EzPay America, its officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable attorney's fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in Knox County, Tennessee, except where prohibited by law.
13. Changes to Terms
EzPay America reserves the right to modify these Terms at any time. We will notify users of material changes by updating the date at the top of this page. Your continued use of our services after any changes constitutes your acceptance of the new Terms.
